Terms of Service

1. Acceptance of Terms

Welcome to FrameReady. By downloading, installing, or using the FrameReady mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and FrameReady ("we," "us," or "our"). We reserve the right to update these Terms at any time. Continued use of the App after changes constitutes acceptance of the modified Terms.

2. Description of Service

FrameReady is an iOS application that helps users curate artwork for Samsung Frame TVs. The App provides:

• AI-powered room analysis using photographs you provide
• Artwork recommendations tailored to your space
• Automatic artwork formatting and presentation optimization
• Direct artwork delivery to compatible Samsung Frame TV devices on your local network

The AI analysis features are powered by third-party AI services and require an in-app purchase to unlock.

3. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you must have permission from a parent or legal guardian. By using the App, you represent and warrant that you meet these eligibility requirements.

4. User Obligations

You agree to:

• Use the App only for lawful purposes and in accordance with these Terms
• Not upload or analyze any images that contain illegal, harmful, threatening, abusive, defamatory, or offensive content
• Not attempt to reverse engineer, decompile, or disassemble the App
• Not use the App to infringe upon any intellectual property rights
• Not interfere with or disrupt the App or servers connected to the App
• Ensure you have all necessary rights to any photos you upload for analysis

5. Camera and Photo Library Access

The App requires access to your device's camera and photo library to function. You grant us permission to access these resources solely for the purpose of:

• Capturing or selecting room photos for AI analysis
• Temporarily processing these images to generate artwork recommendations

We do not store your photos on our servers. Images are processed and immediately discarded. See our Privacy Policy for more details.

6. In-App Purchases and Subscriptions

6.1 Pricing and Payment

Certain features of the App, including AI-powered room analysis and artwork recommendations, may require a one-time in-app purchase. All purchases are processed through the Apple App Store and are subject to Apple's terms and conditions.

6.2 Refunds and Cancellations

All purchases are final. Refund requests must be submitted directly to Apple through the App Store, in accordance with Apple's refund policy. We do not have the ability to process refunds directly.

6.3 Free Trial (If Applicable)

If we offer a free trial period, you may cancel at any time during the trial to avoid being charged. Cancellation must be completed at least 24 hours before the trial ends through your Apple App Store account settings.

7. Intellectual Property Rights

7.1 Our Rights

All content, features, and functionality of the App, including but not limited to software, text, graphics, logos, and user interfaces, are owned by FrameReady or its licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Artwork

Artwork displayed within the App is sourced from public domain collections or licensed sources. We make reasonable efforts to ensure artwork is properly licensed, but we make no warranties regarding the copyright status of individual artworks.

7.3 Your Content

You retain all rights to photos you upload to the App. By using the App, you grant us a limited, non-exclusive, royalty-free license to process your photos solely for the purpose of providing the Services. This license terminates when your photo is discarded after processing.

8. Third-Party Services

The App integrates with third-party services, including:

• Third-Party AI Services: For image analysis and artwork recommendations
• Samsung SmartThings/Frame TV API: For artwork delivery to your TV
• Apple App Store: For payments and distribution

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

9. Disclaimers and Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, secure, or error-free
• The results obtained from using the App will be accurate or reliable
• AI-generated artwork recommendations will match your aesthetic preferences
• The App will be compatible with all Samsung Frame TV models
• Any errors in the App will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMEREADY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or use of your data
• Any interruption or cessation of the App
• Any bugs, viruses, or other harmful code transmitted through the App
• Any errors or omissions in content or any loss or damage incurred as a result of your use of any content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $50 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless FrameReady and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

12. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App will immediately cease.

You may stop using the App at any time by deleting it from your device. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will continue to apply.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing a claim, you agree to contact us at support@frameready.app and attempt to resolve the dispute informally. We'll do the same if we have a dispute with you.

13.3 Arbitration

If we cannot resolve a dispute informally, any dispute arising from these Terms or the App will be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except that you may assert claims in small claims court if your claims qualify.

13.4 Class Action Waiver

You agree that disputes will be resolved on an individual basis and not as a class action, class arbitration, or any other representative proceeding.

14. Apple App Store Terms

If you access the App through the Apple App Store, the following additional terms apply:

• These Terms are between you and FrameReady only, not with Apple
• Apple has no obligation to furnish maintenance or support services for the App
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. Apple has no other warranty obligation with respect to the App
• Apple is not responsible for addressing any claims by you or any third party relating to the App
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FrameReady regarding the App and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
